利用規約
この利用規約(以下、「本規約」といいます。)は、アラウンド・イノベーション(以下、「当 社」といいます。)が、ボーダーレストークR(以下、「本アプリ」といいます。)上で提供 するサービス(以下、「本サービス」といいます。)の利用条件を定めるものです。登録ユー ザーの皆さま(以下、「ユーザー」といいます。)には、本規約に従って、本サービスをご利 用いただきます。
第 1 条(適用)
1.本規約は、当社とユーザーとの間の本サービスの利用に関わる一切の関係に適用されるものとします。
2.当社は本サービスに関し、本規約のほか、ご利用にあたってのルール等、各種の定め(以下、「個別規定」といいます。)をすることがあります。これら個別規定はその名称の如何に関わらず、本規約の一部を構成するものとします。
3.本規約の規定が前条の個別規定の規定と矛盾する場合には、個別規定において特段の定めなき限り、個別規定の規定が優先されるものとします。
第 2 条(利用登録)
1.本サービスにおいては、登録希望者が本規約に同意の上、当社の定める方法によって利用登録を申請し、当社がこれを承認することによって、利用登録が完了するものとします。
2.前項に定める利用登録の完了により、本規約にしたがったサービス利用契約が、当社とユーザーとの間に成立し、ユーザーは本サービスを利用することができるようになります。
3.当社は、利用登録の申請者に以下の事由があると判断した場合、利用登録の申請を承認しないことがあり、その理由については一切の開示義務を負わないものとします。
1.利用登録の申請に際して虚偽の事項を届け出た場合
2.本規約に違反したことがある者からの申請である場合
3.反社会的勢力であるまたは反社会勢力との間に交流もしくは関与がある場合
4.その他、当社が利用登録を相当でないと判断した場合第 3 条(ユーザーID およびパスワードの管理)
1.ユーザーは、自己の責任において、本サービスのユーザーID およびパスワードを適切に管理するものとします。
2.ユーザーは、いかなる場合にも、ユーザーID およびパスワードを第三者に譲渡もしくは貸与し、または第三者と共用することはできません。当社は、ユーザーID とパスワードの組み合わせが登録情報と一致してログインされた場合には、そのユーザーID を登録しているユーザー自身による利用とみなします。
3.ユーザーID およびパスワードが第三者に使用されたことによって生じた損害は、当該不正使用が当社の責めに帰すべき事由に起因する場合を除き、当社は一切の責任を負 わないものとします。
第 4 条(本サービスの利用)
1.ユーザーは、本規約の定めるところにより、本規約に違反しない範囲内で、当社の定め
る方法に従い、本サービスを利用することができます。
2.本サービスを利用するためには、本アプリがインストールされた端末がインターネット
に接続されている必要があります。ユーザーは、本サービスを利用するにあたり必要と なる端末、OS 等のソフトウェアおよび通信回線その他の通信環境等を、自らの費用と 責任において準備し、維持するものとします。
第 5 条(利用料金および支払方法)
1.ユーザーは、本サービスの有料部分を利用する場合には、本サービス内で販売されるボーダーレスコインを購入し、当社が定める数量のボーダーレスコインを使用する必要があります。
2.当社は、事前に告知をすることなく、ボーダーレスコインの販売単価を変更することが
あります。
3.本サービスを利用するために購入したボーダーレスコインの有効期限は無期限とします。ただし、本サービス終了の際を含め、理由の如何を問わず、一度購入したボーダー レスコインは返金できません。
第 6 条(禁止事項) ユーザーは、本サービスの利用にあたり、以下の行為をしてはなりません。
1.法令または公序良俗に違反する行為
2.犯罪行為に関連する行為
3.当社に対して、以下に該当し、または、該当すると当社が判断する情報を送信する行為
1.過度に暴力的または残虐な表現を含む情報
2.過度にわいせつな表現を含む情報
3.第三者の名誉または信用を毀損する表現を含む情報
4.第三者の知的財産権を侵害する表現を含む情報
5.差別を助長する表現を含む情報
6.自殺、自傷行為を助長する表現を含む情報
7.薬物の不適切な利用を助長する表現を含む情報
8.反社会的な表現を含む情報
9.他人に不快感を与える表現を含む情報
10.コンピューター・ウィルスその他の有害なプログラムを含む情報
4.本サービスの内容等、本サービスに含まれる著作権、商標権ほか知的財産権を侵害す る行為
5.当社、ほかのユーザー、またはその他第三者のサーバーまたはネットワークの機能を 破壊したり、妨害したりする行為
6.本サービスのネットワークまたはシステム等に過度な負荷をかける行為
7.本サービスに対するリバースエンジニアリングまたはこれに類する行為
8.当社のサービスの運営を妨害するおそれのある行為
9.不正アクセスをし、またはこれを試みる行為
10.他のユーザーに関する個人情報等を収集または蓄積する行為
11.不正な目的を持って本サービスを利用する行為
12.本サービスの他のユーザーまたはその他の第三者に不利益、損害、不快感を与える行為
13.他のユーザーに成りすます行為
14.当社が許諾しない本サービス上での宣伝、広告、勧誘、または営業行為
15.面識のない異性との出会いを目的とした行為
16.当社のサービスに関連して、反社会的勢力に対して直接または間接に利益を供与する行為
17.その他、当社が不適切と判断する行為
第 7 条(送信情報)
1.ユーザーは、本サービスを通じて当社に送信される情報について、自らが送信すること
についての適法な権利を有していること、および送信される情報が第三者の権利を侵
害していないことについて、当社に対し表明し、保証するものとします。 2.ユーザーは、本アプリのダウンロードストア(App Store、Google Play)に投稿した本 サービスの評価の数値およびレビューコメントについて、当社に対し、非独占的かつ無 償で利用(当社のプロモーションのために、当社のウェブサイト等に掲載することを含
みます。)することのできるライセンスを付与するものとします。
第 8 条(本サービスの提供の停止等) 1.当社は、以下のいずれかの事由があると判断した場合、ユーザーに事前に通知することなく本サービスの全部または一部の提供を停止または中断することができるものとします。
1.本サービスにかかるコンピュータシステムの保守点検または更新を行う場合
2.地震、落雷、火災、停電または天災などの不可抗力により、本サービスの提供が困難となった場合
3.コンピュータまたは通信回線等が事故により停止した場合
4.本サービスの提供のために当社が契約している電気通信事業者から電気通信役務が提供されない場合
5.その他、当社が本サービスの提供が困難と判断した場合
2.当社は、本サービスの提供の停止または中断により、ユーザーまたは第三者が被ったい かなる不利益または損害についても、一切の責任を負わないものとします。
第 9 条(利用制限および登録抹消)
1.当社は、ユーザーが以下のいずれかに該当する場合には、事前の通知なく、ユーザーに
対して、本サービスの全部もしくは一部の利用を制限し、またはユーザーとの間の利用 契約を解除し、ユーザー登録を抹消することができるものとします。
1.本規約のいずれかの条項に違反した場合
2.登録事項に虚偽の事実があることが判明した場合
3.料金等の支払債務の不履行があった場合
4.ユーザーが支払停止もしくは支払不能となり、または破産手続開始、民事再生手続開始、会社更生手続開始、特別清算開始もしくはこれらに類する手続の開始の申立てがあった場合
5.ユーザーが死亡し、または後見開始、保佐開始もしくは補助開始の審判を受けた場合
6.当社からの回答を求める連絡に対し、30 日以上返答がない場合
7.その他、当社が本サービスの利用を適当でないと判断した場合
2.前項各号のいずれかに該当した場合、ユーザーは、当社に対して負っている債務の一切 について当然に期限の利益を失い、直ちに当社に対して全ての債務の支払いを行わな ければなりません。
3.第1項により、当社がユーザーとの利用契約を解除した場合、解除時点でユーザーが保 有していたボーダーレスコインは、すべて失効するものとします。
4.当社は、本条に基づき当社が行った行為によりユーザーに生じた損害について、一切の 責任を負いません。
第 10 条(退会)
1.ユーザーは、当社の定める退会手続により、本サービスから退会できるものとします。
2.前項によりユーザーが退会をした場合、退会時点でユーザーが保有していたボーダーレスコインは、すべて失効するものとします。
3.ユーザーが、退会後に、再度本サービスの利用を希望する場合、再度利用登録を行って いただく必要があります。この場合、退会前のアカウント名やデータを引き継ぐことは できませんので、あらかじめご了承ください。
第 11 条(保証の否認および免責事項)
1.本サービスは現状有姿で提供されるものであり、当社は、本サービスに事実上または法律上の不適合(安全性、信頼性、正確性、完全性、有効性または特定の目的への適合性 を欠くこと、セキュリティなどに関する欠陥、エラーやバグ、第三者の権利の侵害など を含みます。)がないことを明示的にも黙示的にも一切保証しておりません。
2.当社は、本サービスに関して、ユーザーと他のユーザーまたは第三者との間において生 じた取引、連絡または紛争等について一切責任を負いません。
第 12 条(損害賠償)
1.本規約の他の定めにかかわらず、当社は、本サービスに起因してユーザーに生じたあらゆる損害について、当社の故意または重過失による場合を除き、一切の責任を負いませ ん。ただし、本サービスに関する当社とユーザーとの間の契約(本規約を含みます。) が消費者契約法に定める消費者契約となる場合、この免責規定は適用されません。
2.前項ただし書に定める場合であっても、債務不履行、不法行為その他の請求原因の如何 を問わず、当社は、当社の過失(重過失を除きます。)によりユーザーに生じた損害の うち、通常の損害(逸失利益は除きます。)に限り、損害賠償責任を負うものとし、そ の損害賠償額は、当該損害の原因となった当社の行為が行われたときから直近 30 日間 にユーザーが購入したボーダーレスコインの金額を上限とします。
3.ユーザーが本規約に違反することにより、または、ユーザーによる本サービスの利用に より、当社に損害が生じた場合、ユーザーは当社に対してその損害(合理的な弁護士費 用を含みます。)を賠償するものとします。
4.ユーザーが当社に対する金銭債務の支払を遅滞した場合、ユーザーは年 14.6%の割合 による遅延損害金を支払うものとします。
第 13 条(サービス内容の変更等) 当社は、ユーザーへの事前の告知をもって、本サービスの内容を変更または追加することが あり、ユーザーはこれを承諾するものとします。
第 14 条(本サービスの終了)
1.当社は、当社の判断により、ユーザーに対して 3 ヶ月前に通知をすることにより、本サービスの全部を廃止することができるものとします。
2.前項により本サービスの全部が廃止された場合、本サービスの廃止時点をもって、当社とユーザーとのサービス利用契約は自動的に終了し、ユーザーが保有していたボーダ ーレスコインは、すべて失効するものとします。
第 15 条(利用規約の変更)
1.当社は以下の場合には、ユーザーの個別の同意を要せず、本規約を変更することができるものとします。
1.本規約の変更がユーザーの一般の利益に適合するとき。
2.本規約の変更が本サービス利用契約の目的に反せず、かつ、変更の必要性、変更後の内容の相当性その他の変更に係る事情に照らして合理的なものであるとき。
2.当社はユーザーに対し、前項による本規約の変更にあたり、事前に、本規約を変更する旨および変更後の本規約の内容ならびにその効力発生時期を通知します。
第 16 条(個人情報の取扱い) 当社は、本サービスの利用によって取得する個人情報については、当社「プライバシーポリ シー」に従い適切に取り扱うものとします。
第 17 条(通知または連絡) 当社とユーザーとの間の通知または連絡は、当社の定める方法によって行うものとします。 当社は、ユーザーから、当社が別途定める方式に従った変更届け出がない限り、現在登録さ れている連絡先が有効なものとみなして当該連絡先へ通知または連絡を行い、これらは、発 信時にユーザーへ到達したものとみなします。
第 18 条(権利義務の譲渡)
1.ユーザーは、当社の書面による事前の承諾なく、サービス利用契約上の地位またはサービス利用契約に基づく権利もしくは義務を第三者に譲渡し、または担保に供することはできません。
2.当社が、本サービスに関する事業を他社に譲渡した場合、当該事業譲渡に伴い、サービス利用契約上の地位ならびにサービス利用契約に基づく権利および義務は、当該事業 譲渡の譲受人に譲渡されるものとし、ユーザーは、かかる譲渡についてあらかじめ同意 したものとみなされます。
第 19 条(参照する利用規約)
1.iPhone での本アプリの利用にあたっては、本利用規約に加えて、Apple 社が定めるライ センスアプリケーション・エンドユーザ使用許諾契約および App Store の利用規約が適用 されます。
2.Android での本アプリの利用にあたっては、本利用規約に加えて、Google 社が定めるラ イセンスアプリケーション・エンドユーザ使用許諾契約および Google Play の利用規約が 適用されます。
第 20 条(準拠法・裁判管轄)
1.本規約の解釈にあたっては、日本法を準拠法とします。
2.本サービスに関して紛争が生じた場合には、東京地方裁判所を専属的合意管轄裁判所とします。

Article 2 (Registration for use)

Article 3 (User ID and password management)

Article 4 (Use of this service)

Article 6 (Prohibitions)

2. Information containing excessively obscene expressions

5. Information containing expressions that promote discrimination
6. Information that contains expressions that encourage suicide or self-harm
7. Information that includes expressions that encourage the inappropriate use of drugs 8. Information containing anti-social expressions
9. Information that contains expressions that make others feel uncomfortable
10. Information containing computer viruses or other harmful programs
4. Acts that infringe on copyrights, trademark rights and other intellectual property rights contained in this service, such as the content of this service
5. Acts of destroying or interfering with the functions of our company, other users, or other third parties' servers or networks

Article 7 (Transmission Information)

Article 10 (Withdrawal)

2. If the User withdraws in accordance with the preceding paragraph, all Borderless Coins held by the User at the time of withdrawal shall become invalid.
3. If the User wishes to use the Service again after withdrawing from the Service, the User must re-register for use. In this case, please note that the account name and data before withdrawal cannot be taken over.
Article 11 (Warranty Disclaimer and Disclaimer)

Article 12 (Compensation for damages)

Article 17 (Notice or Contact)

Article 18 (Transfer of Rights and Obligations)

Article 20 (Governing Law/Jurisdiction)

第 4 条(利用目的の変更)
1.当社は、利用目的が変更前と関連性を有すると合理的に認められる場合に限り、個人情報の利用目的を変更するものとします。

第 6 条(開示)
